The father of the fiancee who died has (probably) left Matthew his fortune. Mary wants to use it to rescue Downton, but Matthew says it would be wrong as Lavinia's father didn't know that she died of a broken heart because he loved another.

The last series was so daft I didn't bother with this one [I loved the first series]. Think I'll give it a go from what you've all said.
